These Terms of Service (“Terms”) are a binding agreement between you and Priveur LLC (“Priveur,” “we,” “us,” or “our”) governing your use of the Priveur mobile application, website, and related services (together, the “Service”). Please read them carefully. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1Priveur Is a Software Platform, Not a Transportation Provider
Priveur provides software that helps independent chauffeurs and drivers (“Drivers”) manage their business and connect with people who want to book them (“Riders”). Priveur is not a transportation carrier, transportation network company, taxi service, or broker of transportation. Priveur does not provide transportation, does not operate vehicles, and is not a party to any agreement, booking, or trip between a Driver and a Rider.
Any transportation, ride, or service is provided solely by the Driver, directly to the Rider, under whatever arrangement they agree to between themselves. Priveur’s role is limited to making the software and marketplace available.
2No Employment or Agency Relationship
Drivers are independent contractors and independent business operators. Nothing in these Terms or in the operation of the Service creates an employment, agency, partnership, joint-venture, or franchise relationship between Priveur and any Driver or Rider. Drivers are not employees or agents of Priveur, are not directed or controlled by Priveur in how they perform their services, and set their own rates, schedules, service areas, and vehicles.
3Driver Responsibilities
If you use the Service as a Driver, you are solely responsible for:
- Holding and maintaining all licenses, permits, and registrations required to operate legally in your jurisdiction, including a valid driver’s license and any commercial or for-hire authority that applies to you.
- Providing and maintaining a safe, roadworthy, properly registered vehicle.
- Carrying and keeping in force your own valid automobile and liability insurance that meets or exceeds the requirements of applicable law for the service you provide. Priveur does not provide insurance of any kind and is not your insurer.
- Paying all taxes on your earnings and complying with all laws applicable to your business.
- Providing your services safely, lawfully, and professionally.
4Verification and Background Checks
Drivers who wish to appear in the DriverMatch marketplace undergo a background check performed by a third party (Checkr, Inc.) and submit insurance documentation. Any verified badge or displayed check reflects information supplied by third parties at a point in time. Priveur does not independently guarantee, and makes no representation as to, the accuracy, completeness, or ongoing validity of any Driver’s background, identity, licensing, insurance, or fitness beyond displaying the results of the third-party checks. You are responsible for your own judgment about whom you ride with or drive for.
5Assumption of Risk
You understand and agree that transportation arranged through the Service carries inherent risks. Riders and Drivers voluntarily assume all risks associated with using the Service and with any trip, meeting, or transaction between them, including risks of personal injury, death, property damage, and the acts or omissions of other users.
6Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Priveur disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any Driver or Rider will meet your expectations.
7Limitation of Liability
To the fullest extent permitted by law, Priveur and its owners, members, officers, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any injury, death, loss, or damage arising out of or relating to any trip, transportation, or the acts or omissions of any Driver or Rider. Priveur is not responsible for the conduct, safety, quality, legality, or outcome of any transportation arranged through the Service. Priveur’s total aggregate liability for any claim arising out of or relating to the Service or these Terms will not exceed the greater of the amount you paid Priveur in the twelve (12) months before the claim or one hundred U.S. dollars ($100).
8Indemnification
You agree to indemnify, defend, and hold harmless Priveur and its owners, members, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) any trip or transaction between you and another user; (c) your breach of these Terms; (d) your violation of any law or the rights of any third party; and (e) for Drivers, your provision of transportation services and your vehicle, licensing, or insurance.
9Subscriptions and Billing
Priveur is monetized through Driver subscriptions, not by taking a percentage of any fare. Subscriptions include the CRM plan and the optional “DriverMatch” discovery add-on ($9.99/month), as described in the app.
- Paid subscriptions are billed through your Apple App Store account and automatically renew each period unless you cancel.
- Your account will be charged for renewal within 24 hours before the end of the current period, at the then-current price.
- You can manage or cancel a subscription any time in your Apple App Store account settings; cancellation takes effect at the end of the current billing period.
- Except where required by law or Apple’s policies, payments are non-refundable and partial periods are not refunded. Refund requests for App Store purchases are handled by Apple.
- Rider-to-Driver payments are processed by Stripe; those amounts are set by, and paid to, the Driver — Priveur does not take a per-ride cut.
10Acceptable Use
You agree not to: use the Service for any unlawful purpose; harass, threaten, endanger, or discriminate against any user; provide false, misleading, or fraudulent information; impersonate anyone; circumvent verification, safety, or payment features; scrape, reverse-engineer, or interfere with the Service; or use the Service in violation of any applicable law or the rights of others. You must be at least 17 years old to use the Service.
11Dispute Resolution; Binding Arbitration; Class-Action Waiver
It affects your legal rights, including how disputes are resolved.
Except for small-claims matters or requests for injunctive relief, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration, rather than in court, administered under the rules of a recognized arbitration provider, and seated in Virginia. You and Priveur waive the right to a jury trial and agree that claims must be brought only on an individual basis — not as a plaintiff or class member in any class, collective, or representative action. If the class-action waiver is found unenforceable as to a particular claim, that claim will proceed in court, but the rest of this section remains in effect. You may opt out of arbitration by notifying us in writing at support@priveur.co within 30 days of first accepting these Terms.
12Governing Law
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict-of-laws rules. Subject to the arbitration provision above, the exclusive venue for any permitted court proceeding is the state or federal courts located in Virginia.
13Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, create risk or possible legal exposure for Priveur or other users, or if we discontinue the Service. Sections that by their nature should survive termination — including assumption of risk, disclaimers, limitation of liability, indemnification, arbitration, and governing law — will survive.
14Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you in the app or by email. Your continued use of the Service after an update means you accept the revised Terms.
